Responsibilities
- Serve as the principal corporate attorney advising on all M&A, investment, and corporate transactional matters, ensuring compliance with corporate governance and regulatory standards.
- Lead the negotiation, drafting, and execution of M&A transactions, including merger agreements and asset purchases.
- Manage transactions from start to finish, including term sheets, organizing and managing the due diligence and closing processes, drafting definitive transaction documents, working cross-functionally with business leaders to prepare for closing, executing the closings, and supporting post-closing integration processes
- Direct and manage strategic investments, including equity and debt financing transactions (preferred and non-preferred equity, SAFEs, convertible notes, secured/unsecured debt).
- Work closely with internal teams to ensure seamless integration of acquired businesses and partnerships.
- Oversee transaction regulatory compliance processes, including Hart-Scott-Rodino (HSR) filings and state-specific regulatory approvals.
- Collaborate with the finance, accounting, and executive leadership teams to ensure adherence to debt covenants and transaction reporting requirements.
- Manage external counsel and provide oversight on key corporate legal matters as needed.
- Manage a junior M&A attorney and other legal staff within the corporate transactions team.
- Provide corporate governance support, including preparing written consents and resolutions, and otherwise assisting in managing the corporate books and records for the Company and its subsidiaries.
- Manage corporate governance processes and work with teams of paralegals and compliance professionals to ensure strict corporate governance standards are met
- Support the Company's subsidiary formation and management
- Assist business clients with contract and other commercial disputes that may arise, working with appropriate legal colleagues and directly with outside counsel, as needed.
- Provide practical commercial and legal advice to facilitate operational decision-making and strategic planning.
- Perform special assignments or projects, without significant supervision, as assigned by the General Counsel
Qualifications
- JD degree and at least one state bar admission in good standing.
- A minimum of 7 years of experience in general corporate matters, with a demonstrable history of leading mergers and acquisitions, investments, partnerships and commercial contract negotiations.
- Strong background in negotiating and closing complex transactions, particularly in regulated industries (experience in cannabis is a plus).
- Experience with managing debt facilities and compliance with financial covenants.
- A desire to work in a fast-paced, high-energy environment with exceptional organizational and planning skills, capable of handling multiple high-visibility projects simultaneously.
- Strong working knowledge of corporate governance rules and standards.
- Strong negotiation skills and the ability to work collaboratively and effectively with internal and external stakeholders.
- Demonstrated business and financial acumen with a voracious learning mindset.
- Excellent communication skills
- Prior experience managing other attorneys
